Daphny Lazarus is the Founder and Managing Partner of Lazarus, where she provides strategic legal counsel to institutional investors, fund managers, and high-growth businesses.   • Daphny’s legal career began in the Tax group at Winston & Strawn in New York, where she developed expertise in cross-border investments, business formations, taxable and tax-free mergers and acquisitions, divestitures, financings, restructurings, and recapitalizations. This foundation enabled her to build a sophisticated practice advising institutional investors and fund managers on private equity transactions, fund formation, LP-led secondaries, and co-investments. She also counsels clients on complex cross-border and domestic tax strategies, providing tailored solutions that mitigate risk, optimize fund structures, and support private equity and venture capital investments. With significant experience across global markets, Daphny provides solutions that address jurisdictional complexities and capitalize on opportunities in high-growth and transformative sectors.

With ties to farming in Oklahoma, agricultural aviation in Mississippi, and her upbringing in Riverside, California—a region shaped by agricultural production and economic transformation—she developed a deep appreciation for industries that drive resilience and growth.     Outside of her practice, Daphny enjoys traveling with her husband and four children, learning new languages, spending time on the water, playing soccer, and giving back to her community. Her pro bono practice focuses on supporting companies and causes that empower vulnerable women, children, and other marginalized communities, reflecting her belief that the work we do can and should leave the world better than we found it.
